1. Acceptance of Terms

By accessing and using the TalentGale website (talentgale.com) and our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services. These terms apply to all visitors, users, clients, and candidates who access or use our services.

2. Our Services

TalentGale provides recruitment and talent acquisition services, including but not limited to: • Permanent recruitment • Contract staffing • Executive search • Recruitment process outsourcing (RPO) • Career consulting and advisory We act as an intermediary between client organisations and candidates. We do not guarantee employment or placement in any specific role.

3. Client Obligations

As a client using our services, you agree to: • Provide accurate and complete information about job requirements • Respond to candidate submissions in a timely manner • Not directly approach or hire candidates introduced by TalentGale without going through the proper engagement process • Pay all fees as agreed in the signed engagement terms • Comply with all applicable employment laws and regulations • Maintain confidentiality of candidate information shared with you

4. Candidate Obligations

As a candidate using our services, you agree to: • Provide accurate and truthful information in your resume/CV and during interviews • Inform us promptly of any changes to your availability or job preferences • Not misrepresent your qualifications, experience, or employment history • Attend scheduled interviews or provide reasonable notice of cancellation • Maintain confidentiality about client organisations until formally introduced

5. Fees & Payment

Our fee structure varies by service type and is outlined in individual client engagement agreements. Standard terms include: • Contingency placements: Fee payable upon successful placement of a candidate • Retained searches: Fee payable in milestones as outlined in the engagement letter • RPO engagements: Monthly management fee plus per-hire fees as agreed • Contract staffing: Mark-up on daily/hourly rate as agreed All fees are exclusive of applicable taxes. Payment terms are typically Net 30 from invoice date unless otherwise agreed.

6. Replacement Guarantee

For permanent placements, we offer a replacement guarantee as follows: • Standard placements: 90-day replacement guarantee • Executive search: 180-day replacement guarantee If a placed candidate leaves or is terminated within the guarantee period, we will conduct a replacement search at no additional fee. The guarantee is subject to the terms outlined in the individual engagement agreement.

7. Intellectual Property

All content on the TalentGale website, including text, graphics, logos, images, and software, is the property of TalentGale and protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, TalentGale shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising from our services shall not exceed the fees paid by you to TalentGale in the 12 months preceding the claim. We do not guarantee the suitability, performance, or conduct of any candidate or client introduced through our services.

9. Confidentiality

We treat all information shared by clients and candidates as confidential. We will not disclose your information to third parties without your consent, except as required by law or as outlined in our Privacy Policy. Both parties agree to maintain confidentiality regarding the terms of any engagement and any proprietary information exchanged during the recruitment process.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after any changes constitutes acceptance of the new terms.
